Terms and Conditions of Online Sale
1. Introduction
These terms and conditions ("Agreement") govern the online sale of goods and services by AAJT van der Putten, trading as Center for Applied Theory of Mind, with taxpayer identification number (NIF) 293064350 ("Seller") to the purchaser ("Buyer"). By placing an order, the Buyer agrees to be bound by this Agreement.
Legal Note: In Portugal, businesses must provide an electronic link to the Digital Complaints Book (Livro de Reclamações Eletrónico) at www.livroreclamacoes.pt.
2. Orders and Payment

2.1 Acceptance: All orders are subject to acceptance. Seller reserves the right to reject orders due to unavailability or pricing errors.

2.2 Pricing: Prices are in Euros (EUR). For consumers within the EU, prices displayed include VAT (IVA) at the applicable rate. For international business clients (B2B) within the EU, the Reverse Charge may apply provided a valid VAT number is supplied.

2.3 Payment: Payment is required at the time of order. Products/services will only be delivered after confirmed receipt of funds.
3. Shipping, Delivery, and Performance

3.1 Delivery Times: Seller shall make every effort to deliver within the estimated timeframes. In accordance with Portuguese law, if a physical product is not delivered within 30 days, the Buyer is entitled to cancel the order and receive a full refund.

3.2 Risk of Loss: For consumer sales, the risk of loss or damage passes to the Buyer only upon physical possession of the goods.
4. Right of Withdrawal (Cooling-off Period)

4.1 Standard Right: Pursuant to Decree-Law no. 24/2014, Buyers who are consumers have the right to withdraw from this Agreement within 14 days without giving any reason.

4.2 Digital Content Exception: For the supply of digital publications or immediate online services, the Buyer explicitly acknowledges and agrees that by starting the download or accessing the service, they lose their right of withdrawal once performance has begun with their prior express consent.

4.3 Exercise of Right: To exercise the right, the Buyer must notify the Seller via info@appliedtom.com within the 14-day period.
5. Conformity and Warranty

5.1 Consumer Buyers (B2C): For Buyers acting as consumers, physical goods are subject to a mandatory legal warranty of three (3) years from the date of delivery. Digital content and services are guaranteed to remain in conformity with the contract for the duration of the supply. Consumers must report any lack of conformity within two (2) months of discovery.

5.2 Commercial/Professional Buyers (B2B): For Buyers acting in a professional or commercial capacity, the legal warranty for goods is six (6) months from the date of delivery, pursuant to Article 916 of the Portuguese Civil Code. Commercial Buyers must inspect all Products upon delivery and report any visible defects within eight (8) days. Any hidden defects must be reported within thirty (30) days of discovery.

5.3 Exclusions: This warranty does not cover defects or damage resulting from improper use, accidents, unauthorized modifications, or normal wear and tear.

5.4 Remedies: In the event of a valid warranty claim, the Buyer is entitled to repair, replacement, a proportional price reduction, or termination of the contract, subject to the specific conditions and hierarchies established by applicable Portuguese law.
6. Liability and Force Majeure
Except in cases of willful misconduct or gross negligence, Seller’s liability is limited to the total purchase price of the Product. Seller is not liable for delays or failures caused by events outside their reasonable control (Force Majeure).
7. Data Protection
Personal data collected during the order process is handled in accordance with the General Data Protection Regulation (GDPR) and the Seller’s Privacy Policy.
8. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Portugal.

Good Faith: In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiations.

B2B Disputes: Any dispute not resolved through good faith negotiations shall be subject to the exclusive jurisdiction of the courts of Coimbra, Portugal.

B2C (Consumer) Disputes: Consumers may resort to Alternative Dispute Resolution (ADR) entities. A list of available entities is maintained by the Direção-Geral do Consumidor (www.consumidor.gov.pt).

In accordance with Portuguese law, the Seller provides access to the Electronic Complaints Book. Any client wishing to file a formal complaint regarding the Products provided may do so by visiting the official platform at www.livroreclamacoes.pt.

Livro de Reclamações e Resolução de Litígios Nos termos da legislação portuguesa, o Vendedor disponibiliza o acesso ao Livro de Reclamações Eletrónico, disponível em www.livroreclamacoes.pt.

Em caso de litígio, o Comprador (consumidor) poderá recorrer a uma Entidade de Resolução Alternativa de Litígios de Consumo (RAL). A lista atualizada destas entidades encontra-se disponível no Portal do Consumidor em www.consumidor.gov.pt.
